1. Introduction

These Terms of Service ("Terms") govern your access to and use of CLARA (Compilation, Licensing, Agreements & Rights Administration), a product of MAPS, operated by AG Consultancy & Services Limited (AGCS LIMITED t/a ARTISTEHUB), registered in England and Wales under Company Registration Number 10778479 ("we", "us", or "our").

By accessing or using the CLARA platform, you agree to be bound by these Terms. If you do not agree, you must not use our services.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use CLARA By registering an account, you represent and warrant that all information you provide is accurate and complete.

3. Services

CLARA provides a digital platform for the administration of music compilations, licensing agreements, rights management, and related workflows including but not limited to:

• Project and compilation management
• Songwriter expression of interest submissions
• Service agreement generation and digital signing
• Collecting organisation coordination
• Product (EP, Album, MixTape, Compilation) creation and management
• Reporting and data analysis tools

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account at [email protected].

5. Intellectual Property

All intellectual property rights in the CLARA platform, including its design, source code, documentation, and branding, are owned by or licensed to AGCS LIMITED. You are granted a limited, non-exclusive, non-transferable licence to use the platform for its intended purpose only. Full details of IP protections are set out in our IP Protections page.

6. User Content

You retain ownership of any content you submit through CLARA (including song metadata, submissions, and uploaded materials). By submitting content, you grant us a non-exclusive licence to use, store, and process such content solely for the purpose of operating the platform and providing our services.

7. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose
• Attempt to gain unauthorised access to any part of the system
• Upload malicious software or interfere with platform operations
• Reproduce, distribute, or create derivative works from the platform without permission
• Misrepresent your identity or authority in relation to rights administration

8. Limitation of Liability

To the fullest extent permitted by law, AGCS LIMITED shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of CLARA Our total aggregate liability shall not exceed the fees paid by you (if any) in the twelve months preceding the claim. 9. Termination

We may suspend or terminate your access to CLARA at any time, with or without cause, and with or without notice. Upon termination, your right to use the platform ceases immediately.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
